These Account Teams for Toyoko Inn Official Website Account (hereinafter referred to as these “Terms”) apply to all users (hereinafter referred to as the “User”) of services available on the Toyoko Inn official website and application (hereinafter referred to as the “System”) managed and operated by Toyoko Inn Co., Ltd. (hereinafter referred to as “we”, “our” or “us”) and our affiliated companies (hereinafter referred to as the “Service”).

Article 1: Description of the Service

The details of the Service are as follows:

Reservation of accommodation facilities operated by us, and review, change, and cancellation of reservations, etc., through the System;

Earning and using points and discount benefits (The latest information will be posted on our official website); and

Participation in other campaigns (The latest information will be posted on our official website).

Article 2: Account Registration

To use the Service, you need to become a User after you agree to these Terms and then register information specified by us through the System (hereinafter referred to as “Account Registration”).

No Account Registration fee, annual fee, or fee for the Service will be charged.

Article 3: Change in the Registered Information

If there is any change in the information registered pursuant to the preceding article, the User shall update such information through the System without delay.

A User can update the User’s registered information by accessing “Change Member Information” displayed on the My Page screen after logging in to the System.

Even if a User cannot use the Service or any accommodation service due to the User’s failure to make such update, we shall not be liable therefor.

Article 4: Use of the System

The accommodation fee presented on the System is subject to use of the System. Therefore, if a User reserves accommodation by any means other than the System, the accommodation fee may be different from the one presented on the System.

The information on available rooms presented on the System may not reflect the latest number of available rooms.

Article 5: Successful Completion of Accommodation Reservation

An accommodation reservation shall be complete upon display of the message “Accommodation Reservation Completed” on the User’s browser. In addition, we will send an email to the User’s registered email address. The User can review the details of the reservation by reading the email.

Article 6: Change or Cancellation of Accommodation Reservation

If a User wishes to change or cancel the User’s accommodation reservation made through the System, the User shall do so through the System.

When the details of an accommodation reservation cannot be changed through the System, the User shall cancel the reservation and then make a new reservation. However, please note that there may be cases where the User is unable to successfully complete the accommodation reservation due to a lack of available rooms.

If the deadline for the change or cancellation through the System has passed or otherwise the User cannot use the System, the User shall directly contact the accommodation facility.

The cancellation fee shall be paid in accordance with the details of the “Penalty Fee” specified in the accommodation terms and conditions.

Article 7: Payment

The total amount of fees for an accommodation reservation that has been completed successfully through the System shall be displayed on the browser upon successful completion of the accommodation reservation as set forth in Article 5 above.

The accommodation fees shall be paid by the means specified by the User upon applying for the User’s applicable accommodation reservation.

Article 8: Provision of Benefits for User

The latest information on the benefits for User specified in Article 1, Items (2) and (3) shall be posted on our official website.

Article 9: Cancellation of Account Registration

If a User desires to cancel Account Registration, the User shall cancel the User’s registered data by themselves through the System.

If Account Registration is canceled, the User can no longer use the Service thereafter. If the User desires to use the Service again, the User will need to make the Account Registration again.

Article 10: Acceptable Use Policy

The following acts by any User are prohibited in relation to use of the Service. In addition, this article shall also apply to any guest whose accommodation reservation has been successfully completed under Article 5 (hereinafter referred to as the “Guest”):

Registering false information upon the Account Registration;

Obtaining or using any benefit for User in an unauthorized manner;

Making a false or unreasonable accommodation reservation, or no show;

Using any payment method, such as a credit card, in an unauthorized manner;

Making the Account Registration or accommodation reservation on behalf of a person without such person’s consent;

Causing or being likely to cause damage to us, other User or a third party by infringing their property rights, privacy, copyrights or any other rights;

Unreasonably interfering with the operation of the Service, which causes or is likely to cause us to suffer a detriment or damage;

Reselling an accommodation reservation or benefits for User for any purpose;

Applying for an accommodation reservation for a business or commercial purpose, or transferring an accommodation reservation or benefit for User acquired through the Service to a third party with knowledge that the third party will gain a benefit;

Violating or being likely to violate public order or morals, or any laws and regulations; and

Any other acts that we deem inappropriate for use of the Service.

Article 11: Cancellation of Accommodation Reservation

If we cannot confirm a Guest’s arrival at the applicable accommodation even after the scheduled arrival time or we determine that a User or Guest is in violation of these Terms, we may cancel their accommodation reservation that has been completed successfully under Article 5, without prior notice.

Article 12: Cancellation of Account Registration

If we determine that a User is in violation of these Terms, we may cancel their Account Registration without prior notice.

Article 13: Handling of Personal Information

We will handle the personal information of User in accordance with our privacy policy.

Article 14: System Suspension

We may suspend the System without prior notice if such suspension is unavoidable due to server maintenance or any emergency. During the period of the suspension, User cannot use the Service.

Article 15: Disclaimer

Unless there is any willful misconduct or gross negligence on our part, we shall not liable for:

any nuisance, damage, etc. caused to a third party through use of the Service by a User;

any problem with an accommodation reservation, such as failure to complete the reservation or cancellation due to any error in operation, input, etc. by a User;

any problem between a User and a third party for whom the User has made an accommodation reservation; and

any failure to use the Service due to the situation specified in Article 14 above, or the Internet environment conditions, communication circumstances, etc. of a User.

Article 16: Others

In relation to use of the Service, any question as to a matter not stipulated in these Terms shall be resolved by the parties hereto through good faith discussion between them.

In relation to use of the Service, the parties agree that the Tokyo District Court shall have exclusive jurisdiction as the court of first instance for any dispute that is unable to be resolved through discussion between the parties hereto, and such dispute shall be resolved in accordance with the laws and regulations of Japan.
